Understanding Risk Management and Compliance, What Is Different After Monday, April 11, 2016

Plato believed that a good decision is based on knowledge and not on numbers. It is so obvious that Plato died before 2,400 years.

According to my experience, if you torture the numbers long enough, they can say whatever you want them to say (don’t explain it to your supervisors). But, usually numbers torture experts and firms.

The interest rate is a number that tortures so many persons and organizations these days. In my opinion, the “perfect number”, the correct interest rate, is a challenge so difficult to demonstrate as Fermat’s Last Theorem, written down in circa 1637 on the margin of Diophantus’s Arithmetica. Fermat wrote that he had discovered a truly marvelous demonstration, which “this margin is too narrow to contain”. This marvelous demonstration had plagued mathematicians for centuries.

The interest rate… For all persons who put themselves in debt through decisions with long-term consequences, it is of course important how high the interest rates on the debt are.

And this does not concern the interest rates paid now or in the medium term, but also interest rates several decades ahead.

This is part of a very interesting speech: Decision today, consequences far into the future, by Henry Ohlsson, Deputy Governor of the Sveriges Riksbank.

Henry Ohlsson continues: “In recent years, interest rates have been at their lowest level in modern times.

Several other central banks have done as the Riksbank and cut their policy rates below zero, and government bond yields at longer maturities are now at historically low levels.

This is partly due to the prolonged recession following the financial crisis.

However, in the really long term, it is structural factors such as long-term growth, propensity to save and technological progress that are crucial for movements in interest rates rather than short-term fluctuations.

Let us begin with a definition that can help us bring some structure to the discussion and to understand the challenges we are facing.

The interest rate we normally see is nominal, and measures how much we pay in terms of money when we borrow or how much we receive when we save.

But as prices usually rise over time, the value of our money also declines.

To take this into account, one can look at the real interest rate, that is, the nominal interest rate minus the expected rate of inflation.

The real interest rate measures how much we pay for our loans in real terms, that is, in terms of our purchasing power.

In the very long turn, the real interest rate is determined by structural factors, such as savings and investment.

And in a small, open economy like Sweden’s, these factors are primarily determined by international developments.”

I almost forgot it… Fermat was in fact a lawyer and only an amateur mathematician.

Fermat also worked as a judge. Judges were generally discouraged from socialising within the community in order to avoid conflicts of interests, so Fermat spent his evenings hidden in his study, pursuing his mathematical interests.

Understanding Sarbanes-Oxley, What Is Different After July 2016

The Public Company Accounting Oversight Board issued staff guidance for firms filing the new Form APPDF, disclosing the names of engagement partners and other firms participating in public company audits.

The PCAOB also launched a web resource page on Form AP for investors, auditors, and others interested in the information.

“Form AP will provide transparency to investors about the engagement partner and other accounting firms that took part in the audit,” said Martin F. Baumann, PCAOB Chief Auditor and Director of Professional Standards. “The guidance issued today will help firms implement the processes required to deliver that information.”

In December 2015, the Board adopted new rules and accompanying amendments to auditing standards, creating Form AP, Auditor Reporting of Certain Audit Participants. Firms are required to begin filing Form AP in early 2017.

The PCAOB staff guidance released covers provisions of the new rules, such as assigning engagement partner identification numbers and estimating audit hours when disclosing the participation of other accounting firms, among other things. Staff may update this guidance as needed.

The new Form AP web page provides additional resources to audit firms preparing to comply with the new rules, such as general instructions for the form and a sample form that can be downloaded for reference.

Firms may submit an individual Form AP using a web form or may submit multiple forms at once using XML. For firms that elect to submit their forms using XML, the page includes the technical instructions and related schema for XML.

“We recognize that setting up these new processes will take firms some time,” said Director Baumann. “PCAOB staff is ready to help wherever possible.”

PCAOB staff intends to hold conference calls later this year for firms that have questions about the use of technology in submitting Form AP. Firms also will have an opportunity to conduct test runs of Form APs submitted using the web form and XML. More information about the conference calls and testing will be available soon.

Firms are required to file Form AP for public company audit reports issued on or after:

– January 31, 2017, for engagement partner names

– June 30, 2017, for other audit firms that participated in the audit

Early next year, investors and others will be able to conduct searches of the Form AP database from the PCAOB website. Users will be able to search by engagement partner name, audit firm, or public company name. Over time, the database can be used to evaluate a number of data points about the engagement partner, including industry experience and number of years as engagement partner of a particular company.

Understanding Basel III, What Is Different After July 2016

Today we will start with Jaime Caruana, speaking about the BIS 86th Annual Report (1 April 2015-31 March 2016).

Ladies and Gentlemen,

It is my pleasure to submit to you the 86th Annual Report of the Bank for International Settlements for the financial year which ended on 31 March 2016.

The net profit for the year amounted to SDR 412.9 million, compared with SDR 542.9 million for the preceding year.

Details of the results for the financial year 2015/16 may be found on pages 170-1 of this Report under “Financial activities and results”.

The Board of Directors proposes, in application of Article 51 of the Bank’s Statutes, that the present General Meeting apply the sum of SDR 120.0 million in payment of a dividend of SDR 215 per share, payable in any constituent currency of the SDR, or in Swiss francs.

The Board further recommends that SDR 14.6 million be transferred to the general reserve fund and the remainder – amounting to SDR 278.3 million – to the free reserve fund.

If these proposals are approved, the Bank’s dividend for the financial year 2015/16 will be payable to shareholders on 30 June 2016.
